Please read these Terms of Service ("Terms") carefully before using www.pre-synth.com (the "Service") operated by Pre-Synth ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Not Financial Advice

The Service retrieves publicly available market data and formats it into presentations and spreadsheets for informational and analytical purposes only. All output — including stock charts, comparable company analyses, LBO models, projected financials, and any other content — is provided solely as a starting point for your own independent research.

Nothing on this Service should be construed as a recommendation to buy, sell, or hold any security or financial instrument, or as an offer or solicitation to engage in any investment activity. Pre-Synth is not a registered investment adviser, broker-dealer, or financial planner under any applicable law.

2. Data Accuracy Disclaimer

Market data, financial statements, and other information displayed or included in generated output are sourced from third-party providers (including Yahoo Finance) and may be:

• Delayed, incomplete, or subject to interruptions
• Inaccurate, misstated, or out of date
• Adjusted or restated by the original source without notice
• Unavailable for certain securities or time periods

You are solely responsible for verifying the accuracy, completeness, and timeliness of all data before relying on it for any purpose. Pre-Synth makes no representation or warranty, express or implied, as to the accuracy, reliability, or completeness of any data or output.

3. Model and Calculation Disclaimer

Financial models generated by this Service — including but not limited to Leveraged Buyout (LBO) analyses, EBITDA projections, IRR calculations, and MOIC estimates — are illustrative projections based on user-supplied assumptions and third-party data. They are not predictions of future performance.

Actual results will differ, potentially materially, from any projections shown. Model outputs may contain errors arising from data quality, assumption errors, or calculation limitations. You must independently review and validate all model outputs before using them in any professional, commercial, or decision-making context.

4. User Responsibilities

By using the Service, you agree that:

• You will independently verify all data, figures, and model outputs before use
• You will not present Service output as independently verified or audited financial data
• You are solely responsible for any decisions made based on Service output
• You will not use the Service for any unlawful purpose
• You will not attempt to reverse-engineer, scrape, or abuse the Service
• You are at least 18 years of age

5. Limitation of Liability

To the fullest extent permitted by applicable law, Pre-Synth and its operators shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from:

• Your use of or inability to use the Service
• Any inaccuracy, error, or omission in any data or model output
• Any investment, trading, or business decision made based on Service output
• Loss of data due to service interruptions, redeploys, or technical failures
• Unauthorized access to your account

In no event shall our total liability to you exceed the amount you have paid to us in the twelve (12) months preceding the claim.

6. Service Provided "As Is"

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

7. Generated Files and Data Retention

Files generated by the Service (PPTX presentations and Excel workbooks) are stored on our servers for 7 days from the date of creation, after which they are permanently and automatically deleted. We do not guarantee availability of generated files within that window in the event of technical failure. Download your files promptly after generation.

8. Account Termination

You may delete your account at any time from your Profile page. We reserve the right to suspend or terminate accounts that violate these Terms, without notice.

9. Intellectual Property

The Service, including its design, code, and branding, is owned by Pre-Synth. Generated output files are yours to use for your own purposes. You may not resell or redistribute the Service itself.

10. Changes to These Terms

We may update these Terms at any time. The date at the top of this page reflects the most recent revision. Continued use of the Service after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions.
